Subscription and Billing Terms
Updated 2026-10-05
This document is published in English.
These terms explain how training is bought and paid for on Shog Consulting & Corporate Training (seats on our catalogue courses, and the subscription that lets you run your own courses), and what happens to your workspace, your data and your issued certificates if you stop paying. They are for the organisation that holds the account, not for individual learners.
Who you are contracting with
Shog Consulting & Corporate Training is operated by Shog Consulting (FZC), licence number SC242038101, registered at Airport Road, Abu Dhabi, United Arab Emirates. In these terms, "we" and "us" mean Shog Consulting (FZC). "You" means the organisation named on the order form or on the account.
Questions about billing go to training@shogconsulting.com.
What you are buying
There are two things you can buy, and you may buy both.
Seats on catalogue courses. A seat is the right for one named member of your staff to be enrolled on one of the courses in our catalogue, to sit its assessment, and to be issued a certificate by us if they pass. Seats are paid per enrolment at the price shown when you enrol. A seat is tied to a person once assigned; once that person has started the course the seat is consumed and cannot be moved.
An own-course subscription. A subscription lets you write your own courses on the platform and train your own people with them, across every company on your account, with the same mechanics our catalogue uses: identity capture, assessments, evidence, inspection preview, and certificates that anyone can verify. Certificates for your own courses are issued in your organisation's name, with your logo and stamp if you upload them; we operate the verification register they appear on. What you charge your own trainees, if anything, is between you and them.
Both give you the workspace itself: your administrators' accounts, your attendee records, your enrolments, your assessment results, your certificates, your inspection log and your data export.
Subscription plans and what is included
Company-letterhead documents
Starter, Growth and Scale include account-wide company letterheads for attendance, assessment and Training Matrix reports, course specifications, training plans and effectiveness evaluations. The account owner must first confirm the logo, letterhead name and address in Account → Branding. These details are separate from billing and company-registration information. SHOG format remains available.
Confirmed payment covering the eligible subscription period unlocks usable company-format documents on Starter, Growth and Scale, including during a paid trial, without a trial, preview or specimen watermark. An unpaid trial may set up branding and view marked previews only. Registering a card or buying an unrelated course does not activate this feature. Document confidentiality and course specifications' “Prepared for” markings remain.
Previously paid eligible subscriptions retain access during the fourteen-day renewal-payment recovery period; failed first payments do not receive this extension. Cancellation stops new company-format generation at its effective date. After that date ordinary new documents use SHOG format, while saved company-format copies and signed originals remain available subject to authorization and record-retention rules. Reactivation restores access using the retained branding profile.
For thirty days after eligible access ends, Reports → Documents offers an archive of existing saved copies and a manifest. It does not generate fresh company-format reports for later activity. Temporary ZIP downloads expire after seven days without deleting the source records. Individual saved downloads and existing full-company export rights remain available afterwards.
Choose a plan or evaluation's format before signing. Its saved original retains the reviewed content and letterhead; later branding changes do not alter it. Certificates retain their actual issuer, existing private-course branding, verification numbers and QR links. Policies, agreements, payment documents, waivers and inspection-session records retain their issuing or evidentiary identity. Letterhead branding does not transfer course rights or change the provider.
Allowances and billing
Subscriptions do not include SHOG catalogue courses or a licence to resell or rebrand them. Subscribers buy those courses at the same published seat prices and volume rates as other customers. Their certificates retain their actual issuer.
For the six designated awareness courses, one company order costs AED 79 per learner for 1–9 learners, AED 69 each for 10–49, and AED 60 each for 50 or more, before applicable VAT. The reached rate applies to every seat for that course. Language versions count together, but different courses, companies and earlier purchases do not. Other courses retain their published prices. Refunds use the original paid amounts and do not reprice the remaining seats.
A subscription is a plan (Starter, Growth or Scale) billed monthly or yearly. The prices and allowances are shown on the plan page before you subscribe and on your invoice afterwards. Each plan includes a number of certificates per calendar month; the number and the price of additional certificates are fixed on your subscription when you subscribe or change plan, and do not change until you do.
A certificate counts when it is issued under your organisation's name for one of your own courses, whichever of your companies the learner belongs to. Certificates we issue for catalogue courses never count. A certificate that is later revoked still counts: it was issued.
The month is the calendar month in the United Arab Emirates (Asia/Dubai). The allowance resets on the first of each month and does not carry over; a yearly plan keeps the same monthly allowance, not an annual pool. Your first month has the full allowance whatever day you subscribe.
Additional certificates. Certificates beyond the allowance are bought in advance, as top-ups. An owner or administrator of the account buys them, from 1 to 1,000 at a time, at your plan's additional-certificate price plus applicable VAT, and pays for them by card when buying, on a separate invoice. The additional-certificate price is shown on your plan page and fixed on your subscription. Top-up certificates do not expire: unlike the allowance, they stay on the account from one month to the next until they are used. Each certificate uses the month's allowance first, and a top-up certificate only once the allowance is used up.
Held certificates. A learner who passes never loses their certificate for want of allowance. If the month's allowance and your top-up certificates are both used up, the certificate is held: the learner's result and identity evidence are kept, and the learner is told that their certificate is on its way. The account's owners are told by email, at most once a day. Held certificates are issued automatically, oldest first, as soon as top-up certificates are bought, or when the next month's allowance starts.
Trial. A new subscriber may take a fourteen-day trial. A card is required to start it and is charged when the trial ends unless you cancel first. During the trial you may enrol up to three people in your own courses; top-up certificates cannot be bought during the trial.
Changing plan. Moving to a higher plan applies at once, with a proportionate charge for the rest of the current billing period, and the higher allowance applies to the whole current month. Moving to a lower plan takes effect at the end of the current billing period; the month in which it takes effect keeps the higher allowance.
AI assisted course creation
Where enabled on your account, confirmed subscription payment unlocks AI assistance for your private courses, including during a paid trial. An unpaid trial provides an example only. Card registration or buying a catalogue course does not unlock AI generation.
Starter includes one generation unit per calendar month, ten non-archived private courses and 5 GB of course media. Growth includes two units, thirty courses and 25 GB. Scale includes three units, fifty courses and 50 GB. Limits are shared across every company and user on the account. Generations reset on the first day of each month in Asia/Dubai, including annual subscriptions, with no rollover. Certificate allowances remain separate.
One unit covers one course in one language, up to fifty slides and thirty narrated minutes. A request exceeding either limit needs two units, up to a maximum of one hundred slides and sixty minutes. Included units are used first. With no included units available, the standard option costs AED 39 and the larger option costs AED 69, excluding applicable VAT. With one included unit remaining, the larger option costs AED 39. Each additional language is quoted separately. These are one-time purchases, not recurring charges, and do not increase course slots or storage.
Upload PDF slides, review the narration and assessment, and approve the displayed price before videos are made. You are responsible for checking the material and publishing the resulting editable draft. AI does not automatically translate slide images or dub uploaded videos. You may supply a translated PDF retaining the original slide count and order. The voices in AI-generated videos are synthetic.
Ten new draft preparations are included each month, plus three for each generation unit successfully purchased. Editing text and retrying technical processing failures do not consume another preparation. One correction is included within seven days of successful generation, for the same course, language and purchased size. Further video regeneration requires a new quote. If recorded narration exceeds the approved size, it returns for shortening or approval of a larger generation; no extra payment is taken automatically.
Archiving a private course releases its course slot without removing existing learner access or records. Retained media still counts toward storage, including media for archived courses and historical versions. Learner evidence, certificates and SHOG catalogue media do not consume this allowance. Contact support for a larger plan. Accounts above a reduced limit retain existing content but cannot add capacity until usage is reduced or their plan increases.
New AI work requires confirmed paid coverage. Accepted work and its included correction remain deliverable if the subscription subsequently ends. Irrecoverable paid processing failures are refunded with the corresponding accounting correction. Generation is not publication, and does not change certificate issuers or give access to SHOG catalogue content.
Currency, VAT and taxes
Prices are stated in United Arab Emirates dirhams (AED) unless your order form states another currency.
Prices are exclusive of value added tax unless stated otherwise. UAE VAT at the prevailing rate is added to every seat and every subscription invoice and shown separately. If you are established outside the UAE, or you believe the supply is zero rated or outside the scope of UAE VAT, tell us before you purchase and provide the evidence we ask for. You are responsible for any withholding tax, duty or local charge imposed in your own jurisdiction.
Give us your correct legal entity name, address and tax registration number before your first invoice: they are written to your Stripe customer record and printed on every invoice. We can reissue an invoice to correct our own error. We may not be able to reissue one to correct details you gave us late.
Payment and card handling
Payments are taken through Stripe, which acts as our payment processor. Your card details are entered into Stripe and are held by Stripe. We do not see, receive or store card numbers, and no card number is stored on our systems. Stripe's own terms and privacy notice govern its handling of your payment information.
Seats and top-up certificates are paid at the point of purchase. Subscriptions are charged at the start of each billing period to the card on file.
Payment failure
If a subscription payment fails, Stripe retries the card over the following days and we email the owners on the account with a link to pay.
For fourteen days from the first failure everything keeps working. After fourteen days, until the invoice is paid, the account is read-only for its own courses: no new enrolments can be created in them, and their content cannot be changed. Everything else continues: learners already enrolled finish their course and receive their certificate, existing certificates stay verifiable, inspection previews can be opened, and catalogue seats can still be bought. Paying the invoice restores the account at once.
If the invoice remains unpaid after Stripe's retries, the subscription ends; see below.
Invoices and receipts
Seat purchases produce a receipt and an invoice available from your workspace. Subscription and additional-certificate invoices are Stripe's numbered VAT invoices, available from the billing portal linked on your plan page and sent to the billing email address on the account. Keep that address current: it is the only address we use for billing notices.
Renewal
Subscriptions renew automatically at the end of each billing period for a further period of the same length, at the price then in force, unless you cancel before the renewal date. Seat purchases do not renew.
We will tell you before a renewal that carries a price change. See "Price changes" below.
Cancellation
You may cancel your subscription at any time from the billing portal linked on your plan page or by writing to training@shogconsulting.com. Cancellation takes effect at the end of the billing period you have already paid for. Until then nothing changes, and you can undo the cancellation from your plan page.
We may terminate for a material breach of these terms or of the Acceptable Use Policy that you do not fix within a reasonable period after we tell you about it, and immediately where the breach cannot be fixed or where continuing would expose us or your learners to a legal risk.
Refunds
Fees paid are non-refundable except where stated here or where UAE law requires otherwise.
We will refund, on a pro rata basis for the unused part of a subscription period, where we terminate your subscription for a reason that is not your breach, or where we have charged you in error.
We do not refund seats that have been assigned and started, a subscription period you have chosen to stop using early, or top-up certificates, whether used or not: a certificate issued under your name exists on the register, and unused top-up certificates stay on the account and do not expire.
Where a top-up payment is refunded or reversed, for example because we charged you in error, the top-up certificates from that purchase that are still unused are removed, in proportion to the amount refunded. Certificates already issued stay issued.
If you believe you have been charged incorrectly, write to training@shogconsulting.com within 30 days of the invoice. Please do not raise a card chargeback before contacting us: a chargeback can suspend the account automatically while it is being resolved.
What happens when a subscription ends
Three things are separate, and the difference matters.
Certificates already issued remain valid and verifiable. A certificate asserts what a named person did on a stated date against a stated version of a course. Ending a subscription does not change that history. Certificates issued under your name keep their number, issue date and expiry, and remain verifiable at the public verification page. We keep the verification record for as long as the certificate is valid and thereafter in line with the Data Retention and Deletion policy, whether or not you still subscribe, because a third party checking a certificate must get an answer. The evidence behind each certificate stays available to you on the same terms.
Your own courses become read-only. No new people can be enrolled in them and their content cannot be changed. Learners already enrolled finish their course and receive their certificate. Months that begin after the subscription ends have no allowance, so those certificates use your remaining top-up certificates; when none are left they are held, and you can still buy top-up certificates so that the certificates your learners earned are issued. You can subscribe again at any time and pick up where you left off.
Everything else continues. Your workspace, your companies, your attendee records, catalogue seats and the certificates we issued for them are unaffected by the end of a subscription.
If your workspace closes entirely (you close the account, or a subscription for the workspace itself ends), you have a 30-day window to run a full data export covering your attendees, enrolments, certificates, assessment results and inspection log. After that window, your organisation's data is securely deleted in line with the Data Retention and Deletion policy, except for the verification records described above.
If you connected your own Google Drive or Microsoft storage to the workspace, the certificate files, identity photographs and signed declarations written there are already in your own possession, on your own storage. They are unaffected by anything we delete.
Price changes
We may change prices. A change to the price of a renewing subscription takes effect at your next renewal, and we will give you at least 30 days' notice in writing to the billing email address on the account. If you do not accept a new price, cancel before the renewal date and the change will not apply to you. The allowance and additional-certificate price fixed on your subscription do not change until you change plan.
Taxes are not a price change: if a tax rate changes, or a tax becomes applicable to your purchase, the new amount applies from the date the change takes effect.
Changes to these terms
We may update these terms. Where a change materially reduces your rights, we will give notice to the billing email address on the account before it takes effect for you, and it will apply from your next renewal. The version of these terms you accepted is recorded on your subscription.
